Buyer-Introduced Company
You introduce a company, and we will register it in the official National Iranian Oil Company (NIOC) system. Once registered, this company can either enter into a direct contract with NIOC or work through us as their Buying Agent.
Direct Cooperation with Our Registered Company
In this scenario, you contract directly with one of our companies that is already registered in the NIOC system. This option is faster and simpler, as it eliminates the need to register a new entity.
In both cases, the introduced company (or your company) will be responsible for signing the contracts and covering all related costs.

General Terms for Petroleum Product Sales – FOB Assaluyeh

We supply petroleum products for bunkering purposes in Iranian territorial waters (Persian Gulf & Oman Sea) in full compliance with Iran’s Ministry of Petroleum regulations. Key terms are as follows:
- Quantity & Flexibility: Contract volume is agreed per shipment, with an operational tolerance of ±10%.
- Quality: All products meet NIOC’s standard export quality.
- Delivery: FOB Bandar Farasakou – Assaluyeh, Iran. Title and risk transfer when product passes the seller’s flange onto the vessel.
- Loading Window: Final 2-day loading period will be confirmed by the seller. Loading time allowed: 34 hours + 6 hours, weather permitting (Sundays & holidays included).
- Demurrage: Capped at USD 10,000 per day (pro rata).
- Destination & Use: Products are strictly for bunkering within Iranian waters. Transshipment is permitted. Maximum delivery per bunker operation: 5,000 metric tons.
- Documentation: Buyer must submit a certified Bunker Delivery Note (BDN) within 45 days of loading. Seller may appoint a representative to verify delivery.
- Pricing: Final price is based on the average of 5 Platts quotations (2 before, B/L date, 2 after) under “FOB Persian Gulf,” adjusted by a fixed differential.
- Payment Terms: 45 calendar days from Bill of Lading (B/L) date. Unconditional Bank Guarantee (BG) in Rials, ≥110% of estimated cargo. BG submitted 7 business days before loading. All bank fees borne by buyer.
- Late Payment Penalty: Up to 5 days: LIBOR + 1% per annum; Beyond 5 days: LIBOR + 6% per annum.
- Accepted Currencies: USD (base), optionally EUR (ECB rate) or AED (1 USD = 3.6725 AED).
- Governing Law: Laws of the Islamic Republic of Iran. Disputes resolved in Iranian courts.
- Confidentiality & Compliance: All terms are confidential. Both parties must adhere to applicable laws and ethical business standards.

- الكمية والمرونة: يتم تحديد حجم العقد لكل شحنة، مع هامش تشغيلي مسموح به بنسبة ±10%.
- الجودة: جميع المنتجات تتوافق مع مواصفات التصدير القياسية لشركة النفط الوطنية الإيرانية (NIOC).
- نقطة التسليم: FOB ميناء فراسكو – آسالويه، إيران. ينتقل الملك والمسؤولية من البائع إلى المشتري عند عبور المنتج من فلنج خط الأنابيب الخاص بالبائع إلى السفينة.
- فترة التحميل: سيتم تأكيد نافذة التحميل النهائية (يومان) من قبل البائع. مدة التحميل المسموحة: 34 ساعة + 6 ساعات إضافية، حسب الأحوال الجوية (تشمل أيام العطل الرسمية والأحد).
- غرامة التأخير (Demurrage): بحد أقصى 10,000 دولار أمريكي يوميًا (حسب النسبة الزمنية الفعلية).
- الوجهة والاستخدام: يُسمح باستخدام المنتج للتزود بالوقود البحري فقط ضمن المياه الإيرانية. يُسمح بالنقل العابر (Transshipment). الحد الأقصى للتسليم في كل عملية بانكر: 5,000 طن متري.
- المستندات المطلوبة: يجب على المشتري تقديم وثيقة تسليم الوقود (BDN) معتمدة خلال 45 يومًا من تاريخ التحميل. ويحق للبائع تعيين ممثل للتحقق من عملية التسليم.
- آلية التسعير: يُحدد السعر النهائي بناءً على متوسط 5 أسعار من منصة بلاتس (Platts) (يومان قبل تاريخ بوليصة الشحن، ويوم التحميل، ويومان بعده) تحت بند “FOB الخليج العربي”، مع إضافة أو خصم مبلغ ثابت.
- شروط الدفع: موعد الدفع: خلال 45 يومًا تقويميًا من تاريخ بوليصة الشحن (B/L). طريقة الدفع: ضمان بنكي غير مشروط (BG) صادر من أحد البنوك الإيرانية بالريال، بقيمة لا تقل عن 110% من القيمة التقديرية للشحنة. يجب تقديم الضمان البنكي قبل 7 أيام عمل من بدء فترة التحميل. ولا يُباشر بالتحميل إلا بعد تأكيد استلام الضمان. جميع الرسوم البنكية وعمولات التحويل وتكاليف تحويل العملات على عاتق المشتري.
- غرامة التأخير في الدفع: حتى 5 أيام تأخير: LIBOR + 1% سنويًا؛ أكثر من 5 أيام: LIBOR + 6% سنويًا.
- العملات المقبولة: الدولار الأمريكي (الأساس)، مع إمكانية الدفع بـ اليورو (ECB) أو الدرهم الإماراتي (1 USD = 3.6725 درهم).
- القانون الحاكم: قوانين جمهورية إيران الإسلامية. ويتم فض أي نزاع في المحاكم الإيرانية.
- السرية والامتثال: جميع الشروط سرية. ويتعهد الطرفان بالامتثال للقوانين المعمول بها ومعايير الأخلاقيات المهنية.
